Law Firm Overview

The Bozzay & Partners Law Office was established on December 1, 1998 (previously called the Bozzay Law Office.). The Founding Partner of the Firm, Dr. Gyöngyi Bozzay, is a Hungarian attorney-at-law having more than 20 years of legal experience. Dr. Bozzay is member of the Budapest Bar.

From the end of 1995 to 2003, Dr. Bozzay provided her legal services in cooperation with Seward and Kissel LLP and from 1998 with Squire, Sanders & Dempsey L.L.P. in Hungary as an associate attorney-at-law. Dr. Bozzay decided in 2003 to continue her legal activity independently from the international law firm and from that date she has advised from her own law firm.

The Bozzay Law Office started to expand in 2004 by employing two lawyers. As the latest step in this expansion of the Firm, Dr. Tamas Riba, in October, 2009, joined to the Bozzay Law Offices as a partner. The Bozzay & Partners Law Offices also expanded its physical space with a major renovation, which included the addition of a new, high-tech conference room for serving our Clients better, and building of new attorney space to allow for further expansion of the firm. Currently, two partners, attorneys-at-law and one lawyer provide the firm’s clients with legal advisory services and representation in the Hungarian, English and German languages.

Bozzay & Partners Law Offices is proud to have served clients from various jurisdictions. In addition to serving our Hungarian clients, we are privileged to serve an international clientele, including those from various EU member states, Cyprus and North America. Our clients are diverse in size and are represented in many economic activities.

Our areas of practice include:

- Corporate Law

Bozzay & Partners Law Office provides legal assistance and representation to Hungarian and foreign SMEs and larger enterprises on a broad range of commercial and corporate law matters. We assist clients in the establishment of all forms of commercial and corporate structures, including: private limited companies, limited liability companies, limited partnerships and, general partnerships. We are often called upon to assist in the establishment of Hungarian subsidiaries of foreign based companies and non-profit organizations including joint ventures, special purpose vehicles (SPV), investment funds, associations, and non-profit companies.

- Competition / Antitrust

The firm assists clients in specialized competition matters involving companies participating in Hungary’s rapidly evolving communications sector. We have represented clients before national regulatory organs and the Competition Authority as well as in the civil courts. In this area, we follow the latest decisions of the Hungarian Competition Authority and the courts, as well as the relevant decisions and case law originating from the Commission of the European Union and the European Court of Justice. We also cooperate with local and international law firms in other industry sectors as regards competition matters, where the interests of our clients would be best served.

- Employment / Labour Law

We provide our clients with a full-range of legal services associated with labour and employment law matters, including preparation for and participation in public or private mediations. We assist our clients in the preparation of management and employment agreements. We also advise and represent our clients in legal disputes arising from the liabilities and obligations pertaining to employment agreements, including the termination of employment.

- Intellectual Property / Data Protection

We have the expertise to advise clients on IP matters involving applicable Hungarian and EU law and regulation. We have assisted corporate clients with the registration of trademarks, trade names, and represented clients in the prosecution and defense of trademark infringement claims. We regularly advise client on data protection matters, including legal support during the establishment of a client’s data protection “guidelines and procedures” as required of employees by national and European legislation.

- Public Procurement

We provide our clients (being tenderers or contracting parties) with a broad range of legal advisory services associated with public procurement. Our attorneys have worked in various sectors over the years and are quite familiar with Hungarian public procurement regulations. Our activity also covers the analysis of the courts’ and authorities’ legal praxis and the questions emerging in course of judicial interpretation of several proceedings connected to public procurement. The partners of our Office are qualified as public procurement experts.

- Real Estate

Our law office is highly qualified in matters relating to the sale and development of real estate. We have extensive experience in matters involving conflicting claims of ownership and/or title. We are well versed in identifying and dealing with various forms of encumbrances that may hinder the legal transfer or disposition of real estate.

- Communications / Information Technology

Our internationally recognized communications practice allows us to advise clients on telecommunications, broadcasting and media law, IT and related intellectual property law. The managing partner of the firm is a highly reputed expert in the field of communications regulation.

- Litigation / Dispute Resolution

Every lawyer in our law firm is licensed to represent our clients before the Hungarian courts. We are highly qualified in Hungarian civil procedures. The scope of our expertise spans a broad range of matters in the areas of Hungarian administrative, civil and company law as well as the application and enforcement of EU law in domestic courts. In litigation and dispute resolution matters, we always put our clients’ interests first, attempting to obtain the best possible results, in the shortest amount of time, within the confines of a reasonable and realistic budget.

- Other Services

• Corporate Seat Services

Act V of 2006 on Corporate Transparency, Court Registration Procedures and Final Settlement, as modified, introduced the concept of a corporate seat service. This law which makes it possible for client companies to name a designated law office as the corporate seat in their Articles of Incorporation, as well as in the company register. This is done by way of a contract between the law office and the company. The actual activities of the company must be carried out in a different place from the “designated corporate seat.” The use of the designated seat must be reported and recorded in the company register.

On the basis of a contract establishing our corporate seat service, Bozzay & Partners Law Office is qualified and prepared to assist clients by: receiving and handling mail and courier deliveries arriving for the company; undertake to protect and store documents received if so requested; applying for and obtaining permits and authorizations required for the operation of the company; filing reports to applicable tax authorities; and pursuant to Act V of 2006, assisting in the preparation of reports in accordance with the relevant Hungarian accounting laws and regulations.
