Our areas of practice include:

- Corporate Practice

We have broad experience in rendering services in the planning, formation, operation and liquidation of business organizations and joint ventures, of every industry, taking in consideration the applicable regulations for their operation. We handle the day to day corporate matters of our clients. We also have extensive experience in performing due diligences when acquiring, merging or investing in other ventures. We have experience in regulatory matters and the corporate day to day, in all corporate private entities, such as banks, Stock Brokerage Houses, financial institutions, public corporations, among others, including their finance, either by debentures or securitizations.

- Mergers & Acquisitions

At Guerrero e Isla, S.C., we have been handling these transactions in a wide variety of industries, from their planning, due diligence, drafting, negotiation and post closing issues. Our different areas, allow us to provide a full scope of these transactions, combining for such purpose our expertise in all our areas, such as corporate, antitrust, tax, labor, intellectual property and regulatory law, mitigating all possible risks. We advise financing institutions, equity investors, purchasers, in private equity, leveraged buy out transactions, stock or assets acquisitions and divestitures. We represent North American, European and Asian corporations that with the legal counsel of our M&A practice group have established and extended their business presence in Mexico and Latin America.

- Antitrust

We advise and represent our clients before the Mexican Federal Antitrust Commission in domestic mergers and international transactions. We have also counseled and represented our clients in connection with vertical and horizontal restraints, cartels and monopolies. We structure the necessary corporate schemes with our clients, obtaining the authorizations by the Mexican Federal Antitrust Commission to allow our clients implement their transactions; for such purpose, we revise the possible acquisition targets, evaluating antitrust risks and, then we minimize the prospect of an antitrust challenge. We represent our clients to perform a pre-merger notification requirements under the Mexican Federal Antitrust Act. We have as well a prominent group of litigators to defend our clients against any restraint practice or against any possible procedure initiated by a Mexican authority, by the filing of the corresponding administrative actions or even the “amparo” lawsuit.

- Banking

Our services include general banking practice, drafting of contracts and negotiation, including structured lending, syndicated loans, leveraged buy outs, restructurings and securitizations. We have acted for a large number of international, national and governmental banks in connection with major financings in Mexico and in a wide variety of sectors as well as participated in the drafting, negotiation and perfection of collateral and other related documents, as well as in the legal risk assessment of banks portfolio. We have also represented foreign banks in the formation and operation of their Mexican branch offices and subsidiaries and in their day to day business and represented them before the Mexican regulatory authorities. We also represent several trustees’ enforcing bondholders’ rights in Mexico and foreign banks in insolvency, debt restructuring and litigation matters.

- Foreign Investment

Because our firm is counsel to many foreign investors, we have specialized in providing services in this area. Our counsel consists in assisting foreign companies in obtaining all the necessary authorizations to operate in Mexico, either when investing in a direct or indirect basis. Our representation includes individuals and entities when investing in restricted activities with the Foreign Commission of Foreign Investments, as well as in the acquisition or transfer of real estate for tourism development in the “forbidden zone” which is basically the Mexican Coast line and border, by obtaining the corresponding authorizations or implementing trusts schemes.

- Aviation and Maritime

Some of our lawyers have been representing financial institutions and aviation corporations including aircraft manufacturers, distributors, lessees, leasing companies, and spare parts importers. We have participated in the most complex fleet restructurings in Mexico, and also in the bankruptcy proceedings of several Mexican airline companies. We are leaders in advising aircraft financing and leasing operations, which include, financial leases, pure leases, leasebacks, mortgages, import, export and in general to operate an aircraft, its registration and compliance with air transport regulations.

- Government Procurement, Energy Law and Privatizations

Our firm counts with well recognized lawyers in these fields. We have advised the Mexican government, foreign governments, Mexican and foreign entities.

- Real Estate and Tenancy Law

We have represented our clients in the acquisition, transfer, recordation, securing of real estate, including the implementation of mortgages, easements, leases and trusts. We assist our clients in all aspects of property ownership, including the negotiation of financing documents, construction contracts, architects agreements, brokerage agreements, ground leases and option agreements. In our leasing practice, we represent both landlords and tenants in the negotiation of leases and subleases. Transactions include developers, private investors and governmental agencies. Our real estate practice includes tourism transactions in the Mexican “forbidden zone”, we advise the acquisition and sale of real estate by foreign entities and individuals either for leisure or resort developers. We have broad experience in implementing trust schemes as well as performing due diligences for land acquisition, specifically when dealing with agrarian property transfer.

- Intellectual Property

We represent our clients in the application, search of registries, renewals of patents, trademarks, industrial models, industrial secrets, among others, with the Mexican Institute of Intellectual Property. We also provide counsel in any procedure with the Mexican Institute of Intellectual Property, challenging such agency decisions. We represent our clients in the registration and defense of copyright works before the Ministry of Education. We have broad experience in all kinds of intellectual property litigation, franchising, transfer of technology, confidentiality agreements and license matters and we have advised clients in the protection of their domain names, website contents and other intangible assets. Our litigation department participates in this area as secure all invasions to intellectual property, from an administrative, damages and the prosecution of crimes.

- Litigation, Arbitration & Mediation

Our practice includes all kind of disputes that may arise from commercial relationships, whether before Local or Federal Courts. The Firm has broad experience in sophisticated litigation and arbitration proceedings in the following areas: commercial litigation which include the enforcement of arbitration awards and interim relieves and measures resolved by arbitration tribunals and foreign Courts, ordinary and summary actions, from all different situations, including aviation and maritime cases, banking and securities litigation, collection, claims of damages, contractual interpretations, construction, shareholders disputes, insolvency and enforcement of actions. We have participated in national and international arbitration proceedings under the rules of several institutions and chambers. Some of our partners have been appointed as experts in Mexican law for several procedures in the United States.

Our litigation department also provides services in administrative litigation, involving all actions and process before the Mexican Public Administration, in the areas of Antitrust, Consumer Protection, Health, Government procurement, expropriations, and in general any act of the government affecting our clients interests.

- Immigration

At Guerrero e Isla, S.C., we strive not only to protect the interests of our clients, but also to aid the officers of our clients and their families in obtaining all the necessary permits and authorizations for the legal stay in Mexico. The lawyers of Guerrero e Isla, S.C., have full experience in obtaining all kind of immigration documents, such as FM-2, FM-3, the change of the immigration category, the naturalization of foreign individuals and the repatriation of our clients’ executives to their homeland. Our lawyers also aid our clients in regards to their housing, import of personal goods and automobiles. We have good relationship with the National Institute of Immigration.

- Bankruptcy and Insolvency

The Bankruptcy and Restructuring Practice Group has been quite successful, We have been counseling the most complex insolvency restructurings involving public services concessions, public companies held by the Mexican government, our clients come from a vast diversity of industries including banks, corporations, government held companies, financial institutions, companies rendering a public service, consortiums and large groups of creditors. Our practice is dedicated to settle complex and sophisticated creditors' rights problems quickly and efficiently, recognizing that the best approach to resolving insolvency issues, either at the Conciliation Stage or at the Bankruptcy Stage, providing an aggressive litigation representation as to assure the foreclosure of our clients rights in this process. We have great participation with the IFECOM (Mexican Federal Institute of Experts in Insolvency).
