Rosen, has acquired a broad base of bankruptcy, business litigation and commercial law experience over 25 years, during which he has represented international conglomerates, middle market companies, family-owned businesses and individuals. Steven L. Winig has, since 1983, successfully represented corporate and individual clients in business litigation and insolvency-related matters through trial and appeal.

- Business Bankruptcy and Creditors' RightsWe have successfully represented publicly held and privately owned companies as debtors in liquidation cases, as debtors-in-possession in business reorganization cases and in out-of-court debt workouts and liquidations, and in insolvency proceedings governed by state law in diverse areas, including retail sales, manufacturing, commercial real estate, dairy products, graphic design, advertising, medical supply sales, funeral services, professional services, construction, marketing research and flower distribution. The amount of debt in these cases has ranged from less than $100,000 to in excess of $100,000,000.
- Business Litigation
The benefits we provide for clients are widespread. - Business Formation and Succession Planning
The partners at Rosen & Winig, P.A. understand what type of business should be formed in light of its purpose, whether certain people should or should not own some or all of the entity (and, if they do, how), and how to properly structure agreements among owners of companies that govern their relationships with each other and further their goals. We have negotiated and drafted various shareholder agreements, operating agreements and partnership agreements. We have significant exposure to a broad range of issues regarding out of the ordinary course events such as the purchase of interest owners, valuation, "widow's benefits" and the scope of fiduciary duties of members of boards of directors depending upon the businesses' financial circumstances.

Our transactional expertise derives from the depth of our experience. Our exposure to an extremely broad scope of issues and transactions in connection with our bankruptcy and creditors' rights and business litigation practices has provided us with experience in almost every type of commercial transaction that occurs in today's business world. We have drafted and negotiated virtually all of the agreements commonly used in business transactions. Eric Rosen has authored a book published by West Publishing, entitled "Buyout Agreements – Line By Line," regarding the purchase of interests of owners of a privately held company when secured financing is required to consummate the transaction.
- Individual Bankruptcy and Consumer Law
The attorneys at our firm have represented individuals as debtors in hundreds, if not thousands, of cases under the Bankruptcy Code. Unfortunate things — such as divorce, extended illness, loss of employment or a business failure, the death of a spouse, an investment that did not succeed, or simply not being able to control spending — happen to honest people. The bankruptcy laws provide that such people are entitled to a fresh financial start.
- Mortgage Loan Modifications
Rosen & Winig, P.A. has obtained modifications of loans secured by mortgages against primary residences for hundreds of clients. We are very well versed in this newly developing area. We keep abreast of the government programs that have been implemented to assist troubled homeowners. We know from experience what needs to be accomplished in order for a client to have a realistic opportunity to restructure a residential mortgage loan. Eric Rosen has written a chapter entitled "Handling Residential Loan Workouts in a Challenging Environment" that is part of a book dedicated exclusively to negotiating mortgage modifications.
- Foreclosure Defense
Our partners have been exposed to the judicial foreclosure of mortgages against commercial and residential real property for decades. The underlying loans secured by mortgages that have been the subject of these foreclosure proceedings have ranged in amount from under $10,000 to more than $100,000,000. We have substantial experience representing private lenders as plaintiffs in residential and commercial foreclosure cases, and institutional lenders as plaintiffs in commercial foreclosure cases (we do not represent institutional lenders or loan servicers as plaintiffs in residential foreclosure cases). We believe this experience provides us with the perspective necessary to effectively defend these types of cases, and explains, in part, why we have achieved success in defending corporate and individual borrowers in commercial and residential foreclosure matters.
