- Commercial Litigation and Appellate Advocacy
We represent clients in litigation involving public and closely held corporations, as well as corporate officers, directors and shareholders, including matters involving corporate control, , shareholder appraisal rights, contract disputes, employment agreements, covenants not to compete, financial transactions and bankruptcy-related disputes. We also represent partnerships, partners and sole proprietors in similar types of commercial litigation. In addition to our commercial litigation practice in the state and federal courts, the Firm is able to handle declaratory judgments, preliminary injunctions, alternative dispute resolution, arbitrations, mini-trials and mediation proceedings.
- Corporate Law & Transactions
Our services include forming a business entity and addressing the initial corporate formalities, as well as the more complex transactional matters, particularly involving international parties located in several different jurisdictions overseas. Our attorneys have drafted a variety of commercial contracts, including employment and severance agreements, leases, sale of business transactional documents, private placements, shareholder agreements, employment agreements, stock pledge agreements, security agreements, corporate resolutions, limited liability company operating agreements and restrictive covenant agreements.
- Intellectual Property & Entertainment Law
Our attorneys have significant experience in intellectual property matters, including copyright and trademark or service mark registration as well as litigation arising from infringement or misappropriation of intellectual property. In the field of entertainment law, the Firm’s attorneys have a commitment to advancing the rights of artists, authors, musicians and composers. For example, the Firm’s attorneys have represented an international documentary film maker in obtaining rights to a published work and licensing rights to his own film productions.
