Heussen is an independent, Amsterdam based Dutch law firm with a strong international focus. We specialized in corporate law, commercial and employment law.

Heussen’s founders all have worked for large traditional Dutch law firms. The firm is associated with Heussen Rechtsanwaltsgesellschaft mbH, one of Germany’s biggest independent law firms, with offices in Berlin, Frankfurt, München, Stuttgart, Brussels, New York and with Heussen Italia, with its offices in Conegliano, Milan and Rome.

Our client base comprises large and medium sized Dutch and foreign companies, whereby in particular clients from the United States, the UK, Scandinavia and Asia (Japan, China, Taiwan and Korea) are well represented.

Heussen renders legal services at the highest quality standard. We strongly believe in a multi-disciplinary, result oriented practical approach and do not merely focus on the legal issues. We favour a personal approach, aimed at the needs and desires of our clients.

Our lawyers are fluent in Dutch and English, and some of them are also fluent in Spanish, Swedish, Japanese, Chinese, German or French. All of our lawyers have a broad experience in both national and cross-border transactions and have worked with lawyers and law firms based on virtually every continent. As a result, our lawyers can bring clients into contact with reputable and experienced lawyers in most jurisdictions and in virtually any region in the world.

- Mergers & Acquisitions

Our M & A practice covers all types of domestic and cross-border transactions. We advise and assist in transactions which vary from small to large and from straightforward to complex. The transactions that fall within this area are undertaken by our lawyers often in close co-operation with foreign lawyers and other specialists, such as tax advisers, accountants, auditors and corporate finance consultants.

- Corporate and Corporate Structuring

We advise companies on all relevant company law matters from the pre-incorporation phase until their dissolution. We also advise and represent boards of directors and boards of supervisory directors, individual board members and works councils on various corporate and corporate governance issues. We have extensive expertise and experience in implementing complex cross-border corporate structuring projects often in co-operation with foreign lawyers and Dutch and foreign tax advisers. We have acted both as lead counsel and as Dutch counsel on many domestic, European and global corporate structuring projects.

- Corporate Finance and Collateral

We advise both national and international companies and banks about all relevant corporate law and contract law aspects of corporate finance, refinance, securities and collateral. Our corporate finance practice consists of both national and international transactions. We have an extensive expertise and experience in implementing complex cross-border corporate (re)finance structures, often in close cooperation with foreign banks, (tax) lawyers and corporate finance advisors.

- Contracts and Commercial Law

Our lawyers advise clients on any matters that are important when setting up and conducting a business in the Netherlands. Our lawyers have considerable experience and expertise in preparing, reviewing and negotiating various types of agreements. We act as outside general counsel to national clients and as Dutch counsel to foreign corporates and enterprises.

- Japanese Practice

Our Japan Desk has been set up to provide Japanese companies the legal services they require in the Netherlands. We understand the business of our Japanese clients and respond to their specific needs by providing legal advice and assistance of the highest quality, yet always clear and practical for the Japanese entrepreneur doing business in Europe. All our lawyers active in the Japanese Practice have a very strong track-record working on Japan related cases and dealing with all elements of legal services essential for our Japanese clients. Our Japanese Desk is headed by a native Japanese lawyer.

- Litigation

Our litigation practice group is involved in providing legal services in connection with domestic and international corporate and commercial disputes. In order to achieve the best results for our clients, our attorneys combine their solid contract and tort law knowledge with their strong litigation expertise. Our attorneys have considerable experience with Civil Procedure law and Private International law as well with dispute settlement procedures such as arbitration and public court cases.

- Swedish Practice

The Swedish Desk has been set up to provide Swedish companies or their Dutch subsidiaries with the legal services they require in the Netherlands. We understand the business of our Swedish clients and respond to their specific needs by providing legal advice and assistance of the highest quality, yet always clear and practical. All our lawyers active in the Swedish practice have a very strong track-record working on Sweden related cases and dealing with all elements of legal services essential for our Swedish clients. Some of our lawyers have the Swedish nationality, so we master the Swedish language fluently and are familiar with the Swedish culture.

- Spanish and Latin-American Practice

The Spanish and Latin-American practice has been set up to provide Spanish and Latin-American companies or their Dutch subsidiaries with the legal services they require in the Netherlands. - Chinese Practice

The Chinese practice was set up in 2010 to facilitate Chinese companies doing business in the Netherlands. Our experience relating to Chinese companies includes:

* Assisting a Chinese company with the setting up of its business operations in the Netherlands, including negotiating various transactions with business partners and authorities on its behalf.
* Representing a Chinese organization which assist Chinese companies in the expansion of their European representative offices and subsidiaries, in all corporate and commercial law matters.
* Assisting a Taiwanese IT company in liquidating its subsidiary in the Netherlands, including the dismissal of the employees and liquidating the legal entity.
* Conducting dismissal proceedings in respect of a manager director of a Taiwanese IT company.
