The firm’s tremendous industry knowledge on the area practice stem from representations of various private equity arrangements since 10 years ago, and has evolved over the years of practice of the partners and associates of the Firm. The practice has a long- standing relationship with top private equity firms and private investors, which it represented recently in forming a fund focused on large-scale investments in IT and agriculture sectors.

- Corporate Advisory

Our corporate advisory services relate to clients across the range of corporate issues faced by present day corporations, and is equipped to handle the increasing complexity of the legal aspects of national and international transactions. For clients on our corporate retainer engagement, the Firm services our clients for the day-to-day legal needs of numerous corporations, partnerships, joint ventures, banking and financial institutions, governmental entities, and individuals, the group’s representation is varied in scope and complexity.

Apart from general legal advice on various enactments and positions in law, the firm offers clients legal advice on specific areas of corporate and commercial law such as incorporation advice and services; employment law, franchise and chain retailing planning, direct selling network planning and compliance, corporate legal advice in the areas of amalgamations, mergers, acquisitions, joint ventures and liquidation; and advising, structuring and documenting foreign investment and securities transactions. - Cyber Law and Information Technology

The firm specializes in the protection and commercialization of technology-based assets, along with the provision of specialized advice in areas such as intellectual property and privacy law. We are also experienced in providing advice with respect to the international aspects of information technology and e-commerce, and assist our clients with drafting the agreements that facilitate those transactions.

We offer comprehensive intellectual asset management legal services. Our information technology lawyers coordinate clients’ information technology matters with their general business affairs, providing clients with a single source of comprehensive legal representation. Our services include drafting licensing, distribution and outsourcing agreements, as well as contracts for the assignment, acquisition, transfer or sale of certain technologies or entire businesses, assistance with arranging strategic alliances and joint ventures, and all related non-disclosure/confidentiality agreements and letters of intent.

- Property Law

We counsel on the acquisition, disposal, financing, securing, amalgamations, alienation and leasing of all forms of property. We specialize in commercial property law and property finance and have extensive experience and knowledge in various aspects property law including land registration and conveyancing, leases, construction law, town planning, insolvency, finance and financing structures, mortgage and other securities, company law and the FIC Guidelines.

We offer due diligence investigation service for foreign investors. We are able to investigate all relevant aspects ranging from onerous conditions of title to relevant town planning issues. The conduct of a due diligence investigation is of invaluable assistance in determining appropriate contractual terms for the transaction. We act for both borrowers (developers and purchasers) and lenders in planning and structuring transactions involving debt and equity financing. We assist borrowers to deal with lender requirements, including loan documentation and supporting securities. Our comprehensive range of services also includes planning and structuring the transaction, advising on documentation of the building and construction aspects, operating agreements and joint ventures, as well as dealing with regulatory authorities.

We specialize in enforcement in copyright related to software, films, TV series, book publishing and other entertainment products.
