Ligerion Legal is the division of Ligerion Group located in Moscow, Russia that focuses on legal representation of foreign clients’ interests in Russia. The basis for our work are the key areas of commercial activity: corporate, M&A, finance, litigation and dispute resolution and tax.

- Corporate

In our corporate practice, we advise and provide transactional assistance and management in all areas of corporate legal area. Our experience comprises of advisory and transactional work in the following core areas: business structuring, finance structuring, capital formation and shareholders arrangement, mergers, acquisitions, business transactions and agreements. We help clients to establish business structures, such as joint ventures, start-up ventures, private equity funds for taxable and tax-exempt investors, offshore funds to achieve tax efficiency.

- Finance and Capital Markets

Our team has a broad experience in assisting clients in loan arrangements, investments structuring, trade finance, debt restructuring and factoring. Ligerion is successfully representing both the creditors and the borrowers in structuring and managing of complex finance transactions, including drafting advising on, and negotiating of contractual documentation. To be mentioned, such work can be conducted in cases of bankruptcy situation.

- Litigation & Dispute Resolution

In operating with overseas assets (in our practice – assets) due diligence is an important, if not the only tool to assess the risks. Therefore due diligence is an effective tool to investigate a business or legal opportunity. We assist our clients in performing due diligence of assets or business as a whole.

- Debt Collection and Security Enforcement

Ligerion is providing services on debt collection in Russia. This involves recovery of debts from the persons, including legal entities, private entrepreneurs and physical persons. We have a successful experience in recovery of debts in a bad financial state of debtor as well as at bankruptcy procedures. The head office of Ligerion is based in Moscow, however in our collection and enforcement operations we cover all regions of Russia.

- Investigations in Russia

One of Ligerion's key practice is conducting investigations in Russia. Should it be fraudulent actions, assets allocation information, fraud or other crime information or other data, Ligerion is ready to provide a broad range of corporate or personal investigation services, whether attracting authorized partner companies or using own resources to gather, analyze and provide our client with information needed to take legal actions forward. We are successful in bringing out unrightfully concealed data about businesses and persons in very complex cases and within limited timeline.

- Bankruptcy Procedures

While forming a strong legal position of a creditor in bankruptcy, Ligerion uses its resources to ensure that the asset bankruptcy pool is well protected. Such procedures include protection measures against asset transfers. In our practice we also apply various measures which protect our clients from such fraudulent transactions or malevolent counterparties.

- Trustee Services

As a combination of enforcement services together with a kind of surveying actions, we provide services of security trustee in Russia. Such trust arrangement can be structured prior to a deal (in this case we set up an onshore-offshore based corporate structure), or in case of default situation, post-closing – where we look at enforcement or restructuring of the relevant debt.
