Series LLCs are growing in popularity – especially in real estate, where creating a “series” for multiple real estate properties in a single entity protects each property from the liabilities associated with the other properties.
With a growing number of states now permitting “series” unincorporated entities (current states include Delaware, District of Columbia, Illinois, Iowa, Kansas, Missouri, Montana, Nevada, Oklahoma, Tennessee, Texas, Utah, and Puerto Rico) and the National Conference of Commissioners on Uniform State Laws developing “series” provisions for its uniform unincorporated entity laws, real estate attorneys must learn how the use of Series LLCs can be helpful or harmful to their clients.
